Real Estate Law
Doran Law represents property owners, buyers, sellers, landlords, investors and others in New York in a wide variety of real estate transactions with exceptional attention and care.  We represent and serve our clients in a wide variety of transactions, such as:
  • Buy, sell and lease transactions involving commercial or residential properties
  • Co-ops, condos and vacation properties

We draft and review Contracts of Sale and the associated documents, handle closings, and prevent and resolve disputes.  As a result of our experience representing lenders in mortgage loan transactions, we know which particular battles a borrower can pick and win with their lender.  Our experience enables us to skillfully represent our clients in all aspects of real estate law and to resolve a wide variety of legal issues.  We will walk you through the process, give you an overview of what you can expect, and guide you through the process so that your transaction proceeds smoothly. ​

Setting the Foundation for Your New Business
Are you an entrepreneur who is ready to realize your dream of owning your own business?  Any mistakes you make at the beginning of your business venture can be costly to correct later.  We can help you choose the most appropriate type of business entity based upon your business needs, risk tolerance and financial needs. We routinely set up business entities for clients such as:
  • S-corps and C-corps
  • Limited liability companies (LLCs)
  • General and limited partnerships
  • Professional corporations
We will help you to form your new business, obtain an employer identification number (EIN), and open a bank account.  Most importantly, if you have partners, we will help you to negotiate and draft a Shareholder Agreement or Operating Agreement that spells how your company will be managed and operated, what rights and obligations each shareholder or member has, and how ownership of your company may be sold or transferred in the event of death, disability, divorce, bankruptcy or any type of buy-sell transaction.  It is so important to put a Shareholder Agreement or Operating Agreement in place now when things are good between you and your partners, rather than later when your relationship with your partners may be strained.
